These Terms of Use (“Terms”) govern your access to and use of the website located at cfobydesign.com (the “Site”) and the services offered by CFO by Design, a registered trade name (“DBA”) of Genesis Financial Associates Inc. In these Terms, “CFO by Design,” “we,” “us,” and “our” refer to Genesis Financial Associates Inc. doing business as CFO by Design. Our services include fractional CFO advisory, bookkeeping, and accounting services (collectively, the “Services”). Please read these Terms carefully before using the Site or the Services.

By accessing or using the Site or the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Site or the Services.

1. Eligibility

The Site and Services are intended for businesses and for individuals who are at least 18 years of age. By using the Site or the Services, you represent and warrant that you are at least 18 years old and have the authority to enter into these Terms, including on behalf of any organization you represent.

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, its servers, or connected systems or networks;

Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission;

Introduce any viruses, malware, or other material that is malicious or technologically harmful; or

Use the Site to transmit unsolicited advertising, spam, or other unauthorized communications.

3. Services and Professional Disclaimer

CFO by Design provides financial, bookkeeping, accounting, and advisory services. The specific scope, deliverables, fees, and terms of any engagement are governed by a separate written service agreement or engagement letter between you and CFO by Design. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement controls with respect to the Services it covers.

Information provided on the Site or in general communications is for informational purposes only and does not constitute legal, tax, investment, or accounting advice, and should not be relied upon as a substitute for a formal engagement. No professional or fiduciary relationship is created by your use of the Site alone.

4. SMS / Text Messaging Terms

By providing your mobile phone number and opting in through a form on our Site or otherwise providing express written consent, you agree to receive text (SMS) messages from CFO by Design related to your account, appointments, service updates, billing, and — where you have separately opted in — marketing or promotional messages.

Consent is not a condition of purchase. Your agreement to receive text messages is not required to purchase any goods or services from us.

The Site and its entire contents, features, and functionality — including all text, graphics, logos, designs, and the arrangement thereof — are owned by CFO by Design or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of the material on the Site without our prior written consent, except as expressly permitted by these Terms.

6. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services that are not owned or controlled by CFO by Design. We are not responsible for the content, privacy policies, or practices of any third-party sites or services, and we do not endorse or assume any responsibility for them. Your use of third-party sites and services is at your own risk and subject to their terms.

7. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CFO BY DESIGN AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. Nothing in these Terms limits any liability that cannot be limited under applicable law. Liability arising from the Services is governed by the applicable engagement agreement.

9. Indemnification

You agree to defend, indemnify, and hold harmless CFO by Design and its owners, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Site.

10. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any legal action or proceeding relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the jurisdiction of those courts.

11. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the “Last Updated” date above. Your continued use of the Site or Services after any changes become effective constitutes your acceptance of the revised Terms.
